Merger Process

 

In this phase we work with the senior management of the company to perform a comprehensive review of the company’s business operations, strategies, markets, management team and historical and projected financials.  This review enables Waterford Management to establish the M&A strategy that best fits with the client and their strategic goals.

Once the corporate review has been completed, Waterford Management helps clients develop an M&A strategy that best fits with the client’s growth strategies, operational and financial structures.  Out of these strategies we recommendations for the best methods to implement the strategy. (more)

Waterford Management is not a general M&A firm.  We target the energy conservation and management market.  Therefore we are in constant contact with companies in this market.  With that information, we work the management teams of those companies to determine potential strategic partners.  Waterford Management continuously researches the market to uncover other potential players that plan on utilizing M&A as a strategic tool.

Even in business, negotiations can become personal and the undoing of a good transaction.  Waterford Management will lead negotiations and help structure the transaction while acting as intermediary in the negotiation.  By taking this role, we help insure that when the transaction is complete and the transition phase starts, it does so with all parties in a good frame of mind and with good relationships developed during the merger discussions still intact.

After a letter of intent is agreed to, we enter the due diligence phase of the transaction.  In this phase the acquirer has the opportunity to perform a detailed inspection of the business.  Depending upon the size or complexity of the transaction, the acquirer may opt to engage a public accounting firm to conduct an audit of the business. Waterford Management stays with the transaction through the transition process.  We work with the management teams to put in place transition plans that provide a roadmap on how the organizations are going to fit together.  A good transition plan helps insure the retention of key employees and customers.  It also helps keep the two organizations operating smoothly and providing the services and products that the customer base expects.
